Purpose and scope of the Code of Conduct
The basis of Aisti’s Code of Conduct, referred to as the “Code”, are our core values which guide us in all our activities. This Code translates Aisti’s values into action and guides everyone acting on behalf of Aisti to make responsible decisions in line with the laws, regulations and policies that govern the company.
This Code is guided by internationally recognised principles on human rights, labour rights, environmental protection, and anti-corruption. These include the Universal Declaration of Human Rights, the UN Convention on the Rights of the Child, the principles of the ILO Core Conventions, applicable labour and environmental law, and the UN Convention against Corruption.
Aisti respects the principles of the ILO Core Conventions concerning forced labour, freedom of association, collective bargaining, equal remuneration, non-discrimination, minimum age, and the worst forms of child labour, including ILO Conventions No. 29, 87, 98, 100, 105, 111, 138 and 182. Aisti also complies with applicable labour law in the countries where it operates.
At Aisti, we believe that doing business should be safe and sound. For us, this means being safe for people, safe for the environment, and sound in both our business practices and decision-making. We are committed to operating responsibly, transparently, and with integrity in everything we do. Our business principles, standards and policies form the foundation for how we conduct our business and how we measure and continuously improve our sustainability impact across economic, environmental and social dimensions.
The Code covers sustainable business principles, people, and environmental responsibility. It forms general guidelines and is supplemented by more detailed policies, instructions, and practices for specific areas.
We expect our business partners and third parties to acknowledge, respect, and share principles similar to those stated in this Code. More detailed requirements for suppliers and supply chain partners are set out in Aisti’s separate Supplier Code of Conduct.
Business principles
Conducting business legally and ethically
Aisti conducts its business legally, ethically and responsibly. We comply with all applicable national and international laws and regulations and aim to follow good corporate governance practices in our operations.
We conduct our business in line with recognised principles on human rights, labour rights, environmental protection, and anti-corruption. We do not knowingly participate in, contribute to or benefit from activities that violate applicable laws or the principles set out in this Code.
We do not conduct business with individuals, entities or organisations that are subject to applicable sanctions, or where doing so would violate applicable trade sanctions, export controls or other legal restrictions.
We do not knowingly participate in money laundering, terrorist financing, tax evasion or other illegal financial activities. We take reasonable steps to know our business partners and to ensure that our business transactions are legitimate and transparent.
We expect our business partners to comply with applicable laws and regulations. We share our responsibility programme and targets with our main partners and include relevant requirements in our agreements.
Responsible sourcing and due diligence
Aisti aims to identify, assess and manage material risks related to human rights, labour rights, environmental protection and anti-corruption in its own operations and, where relevant, in its supply chain.
We apply a risk-based approach, taking into account the nature of our business, the scale of our operations, and the severity of potential impacts. More detailed supplier requirements, including expectations for responsible sourcing and supply chain practices, are defined in Aisti’s Supplier Code of Conduct.
Fair competition
Aisti supports fair competition and free markets. We do not enter into discussions or agreements with competitors concerning pricing, market share, market allocation, or other activities that could restrict fair competition.
We avoid situations where personal interests may conflict with, or appear to conflict with, Aisti’s interests. Any actual or potential conflict of interest must be disclosed and handled transparently.
Rejection of corruption and bribery
Aisti is committed to conducting its activities in accordance with applicable anti-corruption laws and the principles of the UN Convention against Corruption. We act transparently and responsibly when dealing with customers, distributors, suppliers, subcontractors, public officials, and other third parties.
- We do not engage in improper or corrupt business arrangements.
- We do not pay or accept bribes or kickbacks.
- We do not make facilitation payments, meaning unofficial payments or benefits to a public official to obtain approval, a permit, or a business advantage.
- Gifts, hospitality, donations or other benefits must never be offered or accepted if they could improperly influence business decisions or create an appearance of improper influence.
Protecting company assets
All employees at Aisti are responsible for protecting the company’s assets. These include physical assets, information systems, intellectual property rights, confidential information, and other intangible assets such as customer, pricing, R&D, and strategy information.
We use company assets only for legitimate business purposes. Employees are not allowed to use Aisti’s assets, products, or services to gain personal advantage.
We respect and protect Aisti’s intellectual property in accordance with applicable laws, regulations, and international treaties. We also respect the intellectual property held by other parties and do not try to obtain or use it illegally.
When sharing information with third parties, everyone must understand what is being shared and for what purpose. Appropriate contractual protection and limitations of use must be in place. We use non-disclosure agreements with business partners where needed to protect confidential information and intellectual property.
Protecting privacy
Aisti respects the privacy of individuals and handles personal data in compliance with applicable data protection legislation, including the EU General Data Protection Regulation (GDPR), and Aisti’s privacy notices and internal data protection practices.
We collect and process personal data only for relevant business purposes. We safeguard business and professional secrets and protect privacy in a way that supports the continuity of our business operations, including in exceptional situations.
Our privacy notices are made available through Aisti’s communication channels, including our website where applicable.
People
Human rights
Aisti respects internationally recognised human rights, including the principles of the Universal Declaration of Human Rights. Respect for human rights applies to all employees and everyone working for or on behalf of Aisti.
We expect everyone at Aisti to respect the dignity, rights, and freedoms of others. We do not tolerate human rights abuses in our own operations. We also expect our business partners to respect human rights.
Child labour, forced labour and modern slavery
Aisti does not tolerate child labour, forced labour, compulsory labour, modern slavery, human trafficking or any other form of exploitation.
We respect the principles of the UN Convention on the Rights of the Child, including Article 32 on the protection of children from economic exploitation and hazardous work. We also respect the relevant ILO principles on forced labour, minimum age, and the worst forms of child labour.
Employment must be freely chosen. Employees must be free to leave their employment in accordance with applicable laws and employment terms. Aisti does not accept the use of threats, coercion, abuse, restriction of movement, confiscation of identity documents or any other practice that could indicate forced labour or exploitation.
Personnel participation and labour rights
Teamwork is an integral part of Aisti’s success. We treat each other with respect, courtesy and fairness, and we promote employee participation in the planning and decision-making of their work and working environment.
Aisti respects employees’ right to freedom of association and collective bargaining in accordance with applicable laws and the principles of the ILO Core Conventions. Employees have the right to join, or not to join, employee organisations without fear of discrimination, retaliation or harassment.
We comply with applicable labour law and employment regulations, including requirements concerning wages, working conditions, working hours, rest periods and leave. We respect collective labour agreements where applicable.
We are committed to providing an inspiring working environment where our people are encouraged to engage in their own personal and professional development and growth.
Health and safety
Aisti strongly promotes a safe and healthy working environment and the well-being of its employees. We comply with applicable occupational health and safety laws, regulations and instructions.
We identify and manage health and safety risks in our work environment and aim to prevent accidents, injuries, and work-related illness. We expect good health and safety behaviour from everyone and adherence to the relevant rules and instructions that guide our daily activities.
We also emphasise our health and safety standards when interacting with our various stakeholders.
Equality and non-discrimination
Equality and inclusivity are fundamental to Aisti’s culture. Our objective is to create a workplace where mutual trust, respect, and inclusivity are encouraged and appreciated.
We are committed to equal treatment and equal opportunities in recruitment, employment, development, promotion, and compensation. We respect the ILO principles on equal remuneration and non-discrimination in employment and occupation.
We select and appoint employees based on their qualifications and skills for the job. Employment decisions are made regardless of race, religion, gender identification, sexual orientation, disability, age, or other personal characteristics protected by applicable law.
We welcome diversity and believe that our employees’ diverse backgrounds, talents, insights, education, and experience contribute to our success. We do not tolerate any form of harassment or discrimination. All employees are entitled to professional, courteous, unbiased, and respectful treatment by supervisors and colleagues.
All employees with managerial duties are required to actively promote a leadership culture that aligns with Aisti’s values.
Sustainability and environmental impact
Sustainable products and services
Aisti uses natural fibre-based material solutions to develop acoustic products for modern construction. We aim to reduce the use of fossil-based and synthetic materials where technically and commercially feasible.
We assess and communicate the environmental impacts of our products through recognised methods, such as life cycle assessment and, where applicable, verified environmental product declarations. We avoid making environmental or product performance claims unless they are supported by appropriate documentation, testing, or assessment.
Our products are designed to improve indoor acoustics and support comfortable spaces for people to live, work, study, and play. They are designed to be safe and practical to install when Aisti’s installation instructions and product documentation are followed. We aim to deliver our products and services in a way that is safe for people and the environment when used, handled and installed according to applicable instructions and product documentation.
We design our products with recyclability and future circular solutions in mind and continue to develop practical recycling and reuse concepts for our products.
Quality
Aisti provides high-quality products and services to its customers. Quality means that we do what we promise, and we all take personal responsibility for the quality of our work and continuous improvement.
We aim to ensure that our products meet applicable product safety, quality, performance and regulatory requirements in the markets where they are placed on the market.
We monitor the quality of our products and operations through continuous quality control of processes and key quality performance indicators. We maintain and develop product documentation, testing practices and traceability in a way that supports product compliance and responsible customer communication.
We continuously develop our management system to ensure a harmonised way to operate throughout the value chain. We ensure that the expertise of our staff supports the production of high-quality solutions.
We work closely with our customers to understand their needs and expectations and aim to provide a strong customer experience throughout the sales and lifecycle of our products.
Minimising our own environmental impact
Aisti understands its environmental impact and is committed to minimising its environmental footprint throughout the value chain. We comply with applicable environmental laws, permits, regulations and authority requirements.
We integrate sound environmental management principles and practices into our business. We aim to use resources efficiently, reduce waste and emissions, and promote responsible material use in our operations.
We take environmental impacts into account in product development, sourcing, production, logistics and end-of-life considerations. We design our products and services and seek innovations that help our customers improve their environmental performance.
We encourage all our personnel to participate in innovating and finding ways to reduce the environmental impact of our operations, products and services. We expect our suppliers and business partners to follow applicable environmental law and to support responsible environmental practices, as further defined in Aisti’s Supplier Code of Conduct.
Living our Code
Putting the Code into practice
Aisti’s Board of Directors has approved this Code of Conduct, and the Board has the overall responsibility for adherence to the Code. The CEO is responsible for leading the implementation of the Code.
The Board of Directors, CEO and the entire management team are expected to lead by example and follow the Code in all activities. All employees with managerial duties are responsible for driving a culture of integrity and overseeing compliance in their areas of responsibility.
Supervisors are responsible for introducing the Code to existing and new employees. Everyone working for or on behalf of Aisti is expected to understand and follow this Code in their daily work. Managers are responsible for supporting employees in applying the Code and for ensuring that concerns are taken seriously.
Reporting concerns, violations and whistleblowing
Aisti encourages employees and stakeholders to speak up and raise serious concerns. Employees are encouraged to contact their supervisor when they are unsure about the right course of action in a particular situation.
Concerns, suspected violations and whistleblowing reports may be reported to a supervisor, management, HR or another designated reporting channel made available by Aisti.
Reports will be handled carefully, confidentially and fairly. Access to reported information will be limited to persons who need it to assess and address the concern. Aisti does not tolerate retaliation against anyone who reports a concern in good faith or participates in the investigation of a concern.
Knowingly false or malicious reports are not accepted. Aisti will maintain reporting procedures that meet applicable legal requirements and are appropriate to the size and nature of Aisti’s operations.
